These Terms of Service ("Terms") govern your use of the website and services of Convertica Studio ("Convertica", "we", "us" or "our"), located at 299 A Block, Alhafeez Garden Phase 5, Lahore, Pakistan. You can reach us at hello@converticastudio.com.
By accessing our website, requesting an audit, or using our services, you agree to these Terms. If you do not agree, please do not use our website or services.
1. Our services
Convertica provides conversion rate optimization (CRO), user-experience and design, store development, landing pages, AI visibility optimization, and related services for online stores, primarily on Shopify. We also offer complimentary audits as described in Section 4.
2. Eligibility and accuracy
You must be at least 18 years old and able to enter into a binding agreement to use our services. You agree that the information you provide to us — including your name, email, and the store or website you submit — is accurate and that you are authorised to provide it.
3. Use of our website
You agree not to misuse our website, including by attempting to gain unauthorised access, interfering with its operation, scraping or copying content without permission, or using it for any unlawful purpose.
4. Free audits and recordings
This section describes important permissions you grant us when you request an audit. Please read it carefully.
4.1 What an audit is
We offer complimentary audits, including conversion rate (CRO) audits, AI visibility audits, and other store reviews ("Audits"). Audits are typically delivered as a recorded video walkthrough (an "Audit Recording") of your website and related materials. Audits are provided free of charge and with no obligation.
4.2 Consent to record, publish, and reuse
By requesting an Audit — including by submitting our audit form or contact form, sending us your store URL, or otherwise asking us to review your store — you grant Convertica a perpetual, worldwide, irrevocable, royalty-free, non-exclusive licence to record, store, reproduce, edit, publish, display, distribute, and otherwise use the Audit Recording and its contents (which may include screenshots and screen recordings of your website, branding, and publicly visible store content) for our business purposes. These purposes include, without limitation:
- publishing the Audit Recording on our YouTube channel and other social media platforms;
- featuring it on our own website and in our marketing and promotional materials; and
- sharing it with current and prospective clients for promotional and educational purposes.
4.3 No compensation
You agree that no fee, royalty, or other compensation is or will be owed to you for the uses described in Section 4.2.
4.4 Your authority and warranties
You represent and warrant that you own, or are authorised to act on behalf of the owner of, the store or website you submit, and that you have the authority to grant the licence in Section 4.2. You agree that our Audit and its publication will not infringe the rights of any third party as a result of information you provide.
4.5 Opting out and withdrawal
If you do not want your Audit to be recorded or reused as described, please do not request an Audit. If you have already requested one and wish to withdraw before it is published, contact us at hello@converticastudio.com and we will use reasonable efforts to honour your request for any material not yet published. Once an Audit Recording has been published or shared, we may be unable to fully retract it.
4.6 No guaranteed results
Audits are provided for informational purposes only. We make no guarantee that following any recommendation will produce particular results.
5. Paid engagements
Paid projects are governed by a separate written proposal, quote, or agreement between you and Convertica, which sets out the scope, fees, timelines, and deliverables. In the event of a conflict between these Terms and a signed project agreement, the project agreement controls for that engagement. Fees are payable as stated in the applicable proposal or invoice.
6. Intellectual property
All content on our website, including text, graphics, logos, and the Convertica name and branding, is owned by or licensed to Convertica and is protected by applicable laws. You retain ownership of the materials and intellectual property you provide to us. Ownership of project deliverables transfers or is licensed to you as set out in the applicable project agreement, typically upon full payment. Nothing in these Terms affects the licence granted to us in Section 4.
7. Third-party platforms
Our services may involve third-party platforms and tools (such as Shopify, analytics providers, and advertising platforms). Your use of those platforms is governed by their own terms, and we are not responsible for them.
8. Disclaimers
Our website, audits, and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that our services will be uninterrupted or error-free, or that any recommendation will result in increased sales, conversions, revenue, or any other specific outcome. Results depend on many factors outside our control.
9. Limitation of liability
To the fullest extent permitted by law, Convertica and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of our website, audits, or services. To the extent we are found liable, our total liability for any claim will not exceed the amount you paid us for the specific service giving rise to the claim, or, for free audits, will be limited to providing the audit at no charge.
10. Indemnification
You agree to indemnify and hold harmless Convertica and its team from any claims, damages, liabilities, and expenses arising out of your breach of these Terms, your misuse of our services, or your breach of the warranties in Section 4.4.
11. Governing law
These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-laws principles. You agree that the courts located in Lahore, Pakistan have exclusive jurisdiction over any dispute arising out of or relating to these Terms or our services.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of our website or services after changes take effect means you accept the updated Terms.
